Northern Dynasty's Ability To Continue As A Going Concern Is Dependent On Its Ability To Finance Its Operating Costs, Complete Exploration And Development, Obtain Necessary Permits To Mine, And Achieve Future Profitable Production At The Pebble Project

- Form 6 Filing

Northern Dynasty prepared its Financial Statements on the basis that Northern Dynasty will continue as a going concern.  At March 31, 2023, the Company had working capital of $8.1 million.  Northern Dynasty has prioritized the allocation of its financial resources to meet key corporate and Pebble Project expenditure requirements in the near term, including the funding of the appeal and remand of the ROD and legal challenges to EPA’s Final Determination.  Additional financing will be required to progress any material expenditures at the Pebble Project and for working capital.  Northern Dynasty’s continuing operations and the underlying value and recoverability of the amounts shown for mineral property interest are entirely dependent upon the existence of economically recoverable mineral reserves at the Pebble Project, the ability of the Company to finance its operating costs, the completion of the exploration and development of the Pebble Project, the Pebble Partnership obtaining the necessary permits to mine, and on future profitable production at the Pebble Project.  Furthermore, failure to continue as a going concern would require that Northern Dynasty's assets and liabilities be restated on a liquidation basis, which would likely differ significantly from their going concern assumption carrying values.
